EULA - End User License Agreement

END-USER LICENSE AGREEMENT FOR SQIANG Office Material Management System

Please read and comprehend all rights and limits stated in this END-USER LICENSE AGREEMENT (EULA) carefully. Before installing SQIANG Office Material Management System that accompanies this EULA, you need to read all terms of this EULA and decide whether to agree with the terms or not. Unless you agree all terms of this EULA, this software shall not be installed in your computer.

As for a reference, you may print out the text of this EULA from this page now. You may also read the copy of this EULA in the HELP part of SQIANG Office Material Management System.

This EULA is a legal agreement reached between you and SQIANG Corporation (SQIANG). This EULA governs SQIANG Office Material Management System, which includes computer software and any associated documents and printed materials. By installing this software, you agree to the terms of this EULA. If there is any disagreement, please do not install or use SQIANG Office Material Management System.

SQIANG Office Material Management System is protected by copyright and other intellectual property laws and treaties. The software is licensed, not sold.

1. SQIANG grants you a nonexclusive license to SQIANG Office Material Management System in the overseas countries. You are entitled to:
1) Install, use, display and run a copy of SQIANG Office Material Management System on one computer, workstation, terminal, pocket computer or other digital electro-apparatus.
2) Backup the copy in order to prevent damage. This backup is prohibited to be provided to any third party in any case. And you shall destroy the backup when your property of the copy is forfeit.
3) Adjust SQIANG Office Material Management System when it is necessary to make SQIANG Office Material Management System work in certain practical computer application environment. At the same time, providing adjusted software to any third party without SQIANG's prior written approval is prohibited, unless separate terms are provided.

2. The End User License Holder shall obey as following:
1) Do not use, copy, transfer, rework and lend the software, as a whole or part, outside this EULA.
2) Use SQIANG Office Material Management System in a multi-user circumstance or network system only under following conditions:
a. With the warrants in writing from SQIANG
b. Each client has purchased end user license
3) Do not reverse engineer, de-compile, or disassemble SQIANG Office Material Management System in any shape or form.
4) Do not lease or lend SQIANG Office Material Management System to any other person without a new license.
5) Make sure all copies of SQIANG Office Material Management System shall comprise all copyright marks.

3. License Holder may make a one-time permanent transfer of this EULA and SQIANG Office Material Management System to the third party, as long as:
1) The license of transferor shall be terminated.
2) License Holder retains no copies of SQIANG Office Material Management System.
3) All of copies and backups of SQIANG Office Material Management System shall be transferred to the third party or deleted completely.
4) The end user receiving the SQIANG Office Material Management System shall agree to all terms of this EULA.
5) Any transfer shall comprise all editions of SQIANG Office Material Management System, if the product is an updating edition.

4. Product Support Services
1) SQIANG may provide you with product support services related to SQIANG Office Material Management System.
2) Use of any such support services is governed by the SQIANG policies and programs described in the user manual, or in other SQIANG-provided materials.
3) Any add-on codes provided by SQIANG as a part of support services shall be deemed as a part of this software and should be governed by this EULA, unless separate terms are provided.
4) SQIANG can use the technical information you provided for business, including but not limited to product supporting and researching. At this time, SQIANG will not mention you in an individual way, unless it is necessary to provide you with product support services.

5. Replacing, Reworking and Updating
1) The rights of replacing, reworking and updating SQIANG Office Material Management System, as well as charging of fees at any time are reserved by SQIANG.
2) Any replacing, reworking or updating edition of SQIANG Office Material Management System which is provided to you will be regarded / deemed as a part of the software, and shall be abided by this EULA , unless this EULA is replaced by another agreement attached to replacing, reworking or updating editions of SQIANG Office Material Management System.
3) If SQIANG provides a replacing, reworking or updating edition of SQIANG Office Material Management System:
a) you shall not continue to use SQIANG Office Material Management System unless the new version of ELUA attached to the replacing, reworking or updating editions of SQIANG Office Material Management System is agreed. And
b) the license to the former edition shall be terminated.

6. Any other rights undefined clearly in this agreement shall be reserved by SQIANG.

7. Copyright
1) The titles of SQIANG Office Material Management System and all copies are consistent with the titles of the corporation marked in the CD or SQIANG Office Material Management System.
2) SQIANG has the copyright of SQIANG Office Material Management System (including but not limited to any image, picture, flash, record, music, word and add-program), printing material attached and any copies of SQIANG Office Material Management System.
3)Copyright and all otherwise rights of SQIANG Office Material Management System and its documents are protected under local and international Laws related to Copy Right /Trademark /Patent etc.
4) The User License Holder agrees not to remove or destroy any copyright mark.
5) The User License Holder agrees not to copy printing material attached.

8. Assurance:
In the event the product, SQIANG Office Material Management System is faulty or does not include features SQIANG has testified to, you may ask for an exchange of a new set. You shall provide a notification within 90 days of the purchase date. If this problem was caused by misuse or wrongful application, SQIANG will not be responsible. The exchanged disk has a 30 day assurance or the remaining days of the initial assurance duration after the exchange. There is no other after-sale assurance besides the assurances above.

9. Limited Responsibility
SQIANG and its Distributors hold no liability or responsibility for profit lost or data lost caused by the use or inability to use SQIANG Office Material Management System, even if SQIANG has been advised of the possibility of damage or fault in the product.

10. Agreement Termination
SQIANG reserves all rights to terminate User Licenses at any time, if any terms or conditions in this agreement are violated.

11. This EULA is ruled by P.R.C Laws.

12. Important Notice:
In order to improve the quality of SQIANG Office Material Management System and relevant services, the basic information about your usage of this software will be collected. Accordingly, SQIANG will provide you with feedbacks aperiodically.
The information collected does not contain any personal information, such as the name, address, and files related to information security.
Such information shall only be used for marketing analysis, so that better functions and services of SQIANG Office Material Management System can be provided. SQIANG shall keep confidential of any and all information collected from you.

Admission
You have now read this agreement and have agreed to obey all of terms and conditions in it.
